Legal, Investment Bank Legal, Vice President, Tokyo

We are looking for an international or Japan qualified attorney with Japan capital markets and corporate law experience to provide legal support to Investment Banking of Goldman Sachs in Tokyo, Japan. Candidates should have substantive experience with domestic and international capital markets and corporate transactions and have flexibility to work with teams within and outside of Japan.

OVERVIEW

Investment Banking Legal supports the Investment Banking Business by providing legal, policy, reputational, and commercial advice and transactional expertise on all aspects of the Investment Banking business to protect the firm and ensure high-quality, value-added execution of transactions.

Members of IB Legal are involved in virtually every investment banking and capital markets financing transaction and have a wide range of responsibilities, which vary in response to the needs of different product areas, industries and regions.

The role of IB Legal is dynamic, has evolved over time and is expected to continue to evolve in response to the changing needs of Goldman Sachs’s many businesses.

ROLE AND RESPONSIBILITIES

• Legal Advisor to Investment Banking — IB Legal acts as an internal legal advisor to Investment Banking on all matters, including matters outside the transaction execution context. The judgment and experience of IB Legal members is highly valued, particularly in weighing legal, policy, reputational and commercial considerations. IB Legal members are frequently called upon to provide advice and answer questions or to become involved in resolving issues or problems that arise, often in difficult situations involving extreme time pressure and client sensitivity
• Financing and Merger Transactions — Members of IB Legal work on a broad range of securities transactions, including public and private offerings of equity and equity-related securities, investment grade and high-yield debt, municipal securities, bank and bridge loans, structured financing products, tender offers, exchange offers and consent solicitations. IB Legal also assists in reviewing and negotiating the terms of engagement letters and confidentiality agreements relating to the engagement of Goldman Sachs as financial advisor on merger and other strategic transactions. In each of these roles, members of IB Legal work closely with bankers and other professionals in the different areas of the Investment Banking Business, including the Financing Group, and other divisions, as well as with IB Legal members from different offices. IB Legal members also work closely with clients, outside counsel and representatives of other investment banks. The responsibilities of an IB Legal team member vary depending on the transaction, but usually include advising on the structuring and execution of the transaction, assessing Firm legal and reputational risks, reviewing and negotiating documents, coordinating with outside counsel, identifying and resolving policy issues and procedural questions and resolving legal issues that arise during the course of a transaction. IB Legal does not replace outside counsel on transactions, although IB Legal improves the efficient use of outside counsel through effective deal management.
• Policy Development, Business Practices and Training — IB Legal members play a critical role in responding to regulatory changes and advising on business practices, policy development and implementation, training, compliance/best practices initiatives and the development of standard procedures and documentation.
• New Product Development — IB Legal assists in developing new products and transactional structures by advising on applicable law, assessing legal and regulatory risks, raising and resolving relevant legal and policy issues, assisting in coordinating appropriate areas within Goldman Sachs and acting as liaison with outside counsel and regulatory bodies. IB Legal members are also frequently involved in assisting clients and their counsel in better understanding new product transactions and their execution.

REQUIREMENTS

• International-qualified or Japan-qualified attorney (bengoshi) with 5 – 10 years PQE. Preference for US or UK qualified attorney, or a Japan-qualified attorney with extensive international experience as well as domestic experience. 
• Candidates will need to demonstrate a strong grounding in securities and corporate finance law and practice.
• Relevant post-qualification experience either with a reputable law firm or as in-house counsel.
• Very strong Japanese and English language capabilities.
